AGREEMENT TO THE OFFICIAL RULES: By participating in the Game, all entrants fully and unconditionally agree to and accept these Official Rules and the Sponsor’s decisions which are final and binding in all matters related to the Sweepstakes. Winning the prize (described below) is contingent upon fulfilling all requirements set forth herein.

SPONSOR: The Blend to Win Instant Win Game (“Game”) is sponsored by Smoothie King Franchises Inc., 9797 Rombauer Road, Suite 150, Coppell, TX 75019 (“Sponsor”). 

GAME ENTRY PERIOD: The Game begins at 5:00 a.m. Central Standard Time (“CST”) on January 19, 2026, and ends at 11:00 p.m. CST on February 13, 2026 (the “Game Period”). Sponsor’s computer is the official timekeeping device for this Game. 

ELIGIBILITY: The Game is open to legal residents of the fifty (50) United States and the District of Columbia who are (a) Healthy Rewards Loyalty Program Members and (b) age 18 or older at the time of entry. Membership in the Healthy Rewards Loyalty Program is free. To join, visit: https://www.smoothieking.com/healthy-rewards. 

Void where prohibited by law. Employees, shareholders, officers, directors and agents of the Sponsor and its respective subsidiaries, affiliates, advertising and promotion agencies, and the immediate family members (spouses, parents, children, and siblings and their spouses) of, and/or those living in the same household of each, are not eligible to enter. Game is subject to all applicable federal, state and local laws and regulations.

ENTRY: There are two methods of entry: 

1. Purchase Method: Sign in to your Healthy Rewards Account and place an online order or scan the code at check-out. After the order or scan is complete, the participant will receive one opportunity to play “Spin the Wheel” in the Healthy Rewards App (a “Spin”). Participants can earn one (1) additional Spin if the participant’s total order (before tax and tip) is $15.00 or more. A participant can also earn one (1) additional Spin with the purchase of any power eats food item in the same transaction. Each Spin represents one (1) entry into the Game. After completing the Spin, the results of the Instant Win Game will be displayed. If you win a prize other than the Grand Prize, it will appear in your Healthy Rewards account within 24 hours.
   

2. Free Alternative Method of Entry: To enter without making a purchase, fill out the free online entry form with all required information. Upon completion of the entry form, the entrant will receive one (1) entry into the Game, and Sponsor will initiate a Spin in the system on behalf of entrant. The system will also display key information required for your mail-in submission, which is required to determine the outcome of your play. Neatly write or print out and tape the key information that was displayed upon submission of your form on a 3x5 postcard. All information displayed must be provided on the postcard to qualify. Entries must be postmarked no later than three (3) calendar days after the end of the Entry Period. Entries postmarked outside of this timeline will not be accepted. You will need to complete the entire guidelines described and mail a separate 3x5 postcard for each entry. Entries that do not win a prize will not receive a response.

There is a limit of three (3) entries per person per day, regardless of entry method. Entrants are subject to all notices posted online including but not limited to the Sponsor’s Privacy Policy which can be found here: http://www.smoothieking.com/privacy-legal.

Only entries submitted via the methods above are eligible. Entries submitted via any other method will NOT be accepted. Multiple entrants are not permitted to share the same email address or Healthy Rewards Account. Any attempt by any entrant to obtain more than the stated number of plays/entries by using multiple/different email addresses, Accounts identities, registrations and logins, or any other methods will void that entrant’s plays/entries/prize claims and that entrant may be disqualified. 

WINNER SELECTION: 400,000 random, computer-generated winning Spins, one for each prize listed below will be randomly seeded throughout the Game Period. If your Spin corresponds with the randomly seeded Spin, you will be a potential instant winner of the prize indicated, subject to verification of potential winner’s eligibility and compliance with these Official Rules. An entrant can win any given prize a maximum of one time regardless of how many entries are submitted by the entrant.

Potential winners of the Instant Win Game will be provided with prize claim directions. Only potential winners who timely complete prize claim requirements and/or are verified as eligible will be awarded a prize. 

All potential winners are subject to verification by Sponsor, whose decisions are final and binding in all matters related to the Game. An entrant is not a winner of any prize, even if the instant win game should so indicate, unless and until entrant’s eligibility has been verified and entrant has been notified that verification is complete. Sponsor will not accept screen shots or other evidence of winning in lieu of its validation process. Any play that occurs after the system has failed for any reason is deemed a defective play, is void and will not be honored.

PRIZE/APPROXIMATE RETAIL VALUE (“ARV”)/ODDS:  

Odds of winning depend on the date/time of entry, the number of prizes remaining available at the time of entry and number of eligible Instant Win Game plays received. The number of prizes available to be won will diminish as they are awarded. 

Grand Prize will be awarded in the form of multiple gift cards with a total value equivalent to the ARV listed above. Smoothie King for Life is calculated as one (1) Smoothie King smoothie per week for twenty (20) years at a value of $7.99 per smoothie. Gift card subject to issuer’s terms and conditions. 

ARV of all prizes is $1,269,308.60. The actual value of the First, Second, and Third Prizes is expected to vary, based on the size and type of Smoothie and add-in/enhancer ordered. If the actual value of the First, Second and Third Prizes prize is less than stated, the difference will not be awarded in cash, and no such claim will be honored. Prizes are not assignable, transferable and may not be substituted except at Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize of equal or greater value at its discretion. Any other incidental expenses on prize not specified herein are the winner’s sole responsibility. Winner is responsible for all federal, state, local and income taxes associated with winning a prize. 

GRAND PRIZE WINNER NOTIFICATION AND VERIFICATION: A potential winner of the Grand Prize will be contacted by Sponsor or Sponsor’s representatives via telephone or email at Sponsor’s sole discretion. Notification is deemed to have occurred immediately at the time Sponsor calls or transmits an email. Sponsor will only be required to attempt to leave one voicemail message or send one email. Sponsor reserves the right, but not the obligation, to attempt to contact any winner(s) more than once, in its sole and absolute discretion. 

A potential winner is subject to verification, including verification of residence. In order to receive the Grand Prize, winner may be required, within three (3) days of being notified, to (a) present a valid photo identification issued by a commonwealth, district, or state of the United States or by the United States federal government; (b) complete, sign, and return to Sponsor an Affidavit of Eligibility and liability release; (c) except where prohibited by law, complete, sign, and return a publicity release; and/or (d) complete and submit an IRS Form W-9 in its entirety, which includes the winner’s valid United States taxpayer identification number or social security number (the “Required Documents”).

If a potential winner (a) cannot be contacted or does not respond to a notification attempt within three days of notification, or a prize notification is returned as undeliverable; (b) does not timely return the Required Documents; or (c) is found to be ineligible or not in compliance with these Official Rules, that potential winner will be disqualified, the prize will be forfeited, and an alternate potential winner will be selected by random drawing from among the remaining eligible entries, subject to the requirements of these Official Rules. If Sponsor is unable to successfully identify a qualified potential winner after Sponsor has attempted to notify five (5) potential winners, Sponsor may elect not to award the Prize.

RELEASE: Entrants agree to be bound by Official Rules. Entrants further release Sponsor, its affiliated and related companies, advertising and promotional agencies and their respective shareholders, directors, officers, employees, agents, representatives, successors and assigns (collectively, the “Released Parties”) from any liability in connection with a prize or the Game. Entrants understand that Sponsor is not liable for injuries, losses or damages of any kind arising from participation in this Game and acceptance, possession and use of prize. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Game or in the announcement of the prizes. Decisions of Sponsor are final and binding in all respects. 

DISPUTE RESOLUTION. Except where prohibited, by participating Game entrants agree that:  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant(s) and Sponsor and its agents shall be governed by and construed exclusively in accordance with the laws of the State of Texas without giving effect to any principles of conflicts of law of any jurisdiction. Entrant agrees that any action at law or in equity arising out of or relating to this Game, or awarding of the prizes, shall be filed only in the state or federal courts located in the State of Texas and entrant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such action. Except where prohibited, by participating in this Game, each entrant agrees that:  (a) any and all disputes, claims, and causes of action arising out of or connected with this Game, or awarding of the prizes, shall be resolved individually, without resort to any form of class action; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Game but in no event attorneys’ fees; and (c) under no circumstances will any  participant be permitted to obtain awards for and hereby waives all rights to claim  punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or  otherwise increased. Some jurisdictions do not allow the limitations or exclusion of liability for incidental or consequential damages, so the above may not apply to you. 

OTHER. Sponsor assumes no responsibility for entries it is unable to process due to network, hardware or other technical failures, or any other reason, or incomplete, damaged, misdirected, illegible, stolen or lost entries. Sponsor reserves the right, in its sole discretion to disqualify any person tampering with the entry process, the operation of the web site or otherwise, in violation of the rules. CAUTION:  Any attempt by an entrant or any other individual to deliberately damage any web site or undermine the legitimate operation of the Game is a violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to seek damages from any such individual to the fullest extent permitted by law. 

Sponsor reserves the right to disqualify any non-conforming entries. Sponsor further reserves the right, in its sole discretion, to cancel, terminate or modify this promotion if not capable of completion as planned, including infection by computer virus, technical corruption, non-authorized human intervention or force majeure. In such event, Sponsor reserves the right to modify the prizes offered herein and/or to award the prizes at random from among the non-suspect, eligible entries and/or nonwinning instant win game plays received up to the time of the impairment or as otherwise deemed fair and appropriate by Sponsor. If, for any reason, more prize notifications are sent (or more claims are received) than the number of prizes offered as set forth in these Official Rules, Sponsor reserves the right to award the intended number of prizes through a random drawing from among all eligible prize claims received. The use of automated entry systems or any other conduct that impedes the integrity of the Game is prohibited. In the event of a dispute regarding online entry, entry will be deemed made by the authorized account holder of an established e-mail account associated with the entry. “Authorized account holder” is defined as the natural person who is assigned to an email address by an Internet Access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted email address.
